Acceptance of Terms
By accessing or using the services of The Communyti Project, powered by Hook Me UP TV, you agree to be bound by these Terms and Conditions. If you do not agree, you may not access or use the services. These terms apply to all users, including Merchants, Broadcast Centers, and Shoppers.
1. Definitions
- “The Communyti Project” / “Company” / “We” / “Us”: Refers to the platform and service owned and operated by Hook Me UP TV.
- “Merchant”: A business that pledges an offer to acquire new customers.
- “Broadcast Center”: A business with physical screens (TVs) that displays offers and participates in the network.
- “Shopper” / “Customer”: An individual who redeems a Merchant’s offer.
- “Offer”: The specific discount or incentive a Merchant pledges to provide to a Shopper.
2. The Core Principle: Performance-Based Payment
The fundamental rule of The Communyti Project is that payment is triggered only by a verified customer redemption.
- Merchants are only charged a fee (as agreed upon in their separate Merchant Agreement) when a Shopper redeems their Offer.
- If no Shopper redeems an Offer during its active period, the Merchant pays nothing for that advertising.
- Broadcast Centers earn revenue and commissions based solely on verifiable redemptions originating from or influenced by their location.
3. Merchant Obligations
By pledging an Offer, the Merchant agrees to:
- Honor the Offer: The Merchant must honor the terms of the Offer (e.g., “$10 off a purchase of $30 or more”) for every Shopper who presents a valid redemption code, subject to the limits set by the Merchant (e.g., “First 100 customers”).
- Accurate Representation: All Offers must accurately represent the Merchant’s goods or services. Misleading or fraudulent offers are strictly prohibited.
- Payment: The Merchant agrees to pay the agreed-upon fee for every valid redemption.
- Settlement: Merchants may choose their settlement method (cash or ad-credit) at the time of creating the Offer, subject to approval by The Communyti Project.
4. Broadcast Center Obligations
By becoming a Broadcast Center, the business agrees to:
- Display Content: Allocate screen space to display offers as directed by The Communyti Project.
- Valid Redemptions: Broadcast Centers must not create fraudulent redemptions. Any attempt to generate false commissions is grounds for immediate termination and legal action.
- Accuracy: Ensure the details of their own business and location are accurate to receive proper attribution.
5. Shopper Conduct
By redeeming an Offer, the Shopper agrees to:
- One-Time Use: Offers are for one-time use per customer unless otherwise specified.
- Compliance: Abide by the specific terms of the Merchant’s Offer.
- Accuracy: Provide accurate information when required for redemption or attribution.
6. Intellectual Property
The content on The Communyti Project platform, including but not limited to the name, logo, software, and the unique business model described, is the property of Hook Me UP TV and is protected by copyright and other intellectual property laws. You may not use this content without our express written permission.
7. Limitation of Liability
To the fullest extent permitted by law, The Communyti Project and Hook Me UP TV shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, resulting from:
- Your use or inability to use the service.
- Any conduct or content of any third party on the platform, including Merchants failing to honor an Offer.
- Unauthorized access to or alteration of your transmissions or data.
8. Indemnification
You agree to defend, indemnify, and hold harmless The Communyti Project and Hook Me UP TV from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the services, your violation of these terms, or your violation of any rights of a third party (e.g., a Merchant failing to honor an Offer).
9. Termination
We reserve the right to terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the service will cease immediately.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law provisions.
11. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms.
